Terms of Service
1. Acceptance of Terms
These Terms constitute a binding agreement between you and Primordia Co., a Delaware corporation. By creating an account or using the Service, you agree to be bound by these terms and the Privacy Policy. If using on behalf of an organization, you represent having authority to bind that entity.
2. Description of Service
Primordia is an AI-powered investment research platform offering:
- Automated research gathering and synthesis
- Financial modeling and valuation analysis
- Probabilistic case analysis and scenario modeling
- Investment memo drafting
- Document upload, processing, and analysis
- AI copilot for research assistance
- Company screening and discovery
- Collaborative research team workspaces
The Service generates analyses using artificial intelligence and third-party language models based on user inputs and public data.
3. Eligibility
Users must be at least 18 years old with legal capacity to enter these Terms.
4. Account Registration and Security
4.1 Account Creation
You must create an account with a valid email address and password. You agree to provide accurate, current, complete information and update it as necessary.
4.2 Account Security
You are responsible for maintaining credential confidentiality and all account activities. You must create a strong password, not share credentials, and notify Primordia immediately of suspected unauthorized access at connect@primordia.ai. The company bears no liability for losses from credential protection failures.
4.3 Account Termination by You
You may delete your account anytime through settings or by contacting connect@primordia.ai.
5. Organizations and Collaboration
5.1 Creating an Organization
You may create organizations within the Service and invite other users. Creators and administrators manage membership, roles, and compliance oversight.
5.2 Roles and Permissions
Organizations support role-based access including Admin, Editor, and Viewer roles. Administrators ensure members comply with these Terms.
5.3 Shared Content
Organization content—including projects, documents, and AI outputs—may be accessible to members based on assigned permissions.
6. Subscription Plans and Payment
6.1 Plans, Pricing, and Usage Limits
The Service offers various subscription tiers with different features, quotas, storage, and compute capacity. Primordia reserves the right to modify usage limits anytime. Pricing is subject to change with reasonable notice.
6.2 Payment Processing
Stripe, Inc. processes all payments. By subscribing to paid plans, you agree to Stripe's terms and authorize charging your provided payment method.
6.3 Billing and Automatic Renewal
Subscriptions bill monthly or annually at each period's start. Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel prior to the renewal date.
6.4 Cancellation and Refunds
Cancel anytime through the Stripe billing portal or by emailing connect@primordia.ai. Cancellation takes effect immediately and downgrades your organization to the free tier. Unless stated otherwise at purchase, you receive a prorated refund for unused portions credited via Stripe.
6.5 Price Changes
Primordia reserves pricing modification rights with at least 30 days' prior notice. New pricing applies at your next billing period.
7. User Content
7.1 Your Content
User Content includes data, text, documents, files, research inputs, and chat messages you upload or provide. You retain ownership of your User Content.
7.2 License to Primordia
By submitting User Content, you grant Primordia a non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and transmit your content solely to operate and provide the Service. This includes transmitting content to third-party AI providers. The license terminates upon deletion, except where retention is legally required.
7.3 Responsibility for User Content
You are solely responsible for your User Content. You represent and warrant that you own or have necessary rights to submit it, that it doesn't infringe third-party rights, and that it complies with applicable law.
7.4 Prohibited Content
You cannot upload User Content that is:
- Unlawful, harmful, threatening, abusive, defamatory, or objectionable
- Infringing of patents, trademarks, copyrights, trade secrets, or other proprietary rights
- Containing malicious code, viruses, or harmful components
- Constituting material non-public information violating securities laws
- Violating applicable law or regulation
8. AI-Generated Content and Disclaimers
8.1 Nature of AI Outputs
The Service generates analyses, reports, financial models, and memos using artificial intelligence and third-party language models based on your inputs and public data.
8.2 NOT INVESTMENT ADVICE
Primordia is not a registered investment adviser, broker-dealer, financial analyst, planner, or institution. We do not recommend or endorse specific securities, investments, strategies, or courses of action.
8.3 No Guarantee of Accuracy
AI outputs may contain errors, inaccuracies, omissions, hallucinations, or outdated information. Financial data, projections, valuations, and analyses are estimates unsuitable as sole decision-making bases. You are solely responsible for independently verifying all information before deciding.
8.4 Assumption of Risk
You acknowledge that investment decisions involve inherent risk, past performance doesn't guarantee future results, you won't rely solely on AI outputs for decisions, you'll consult qualified professionals before investing, and Primordia bears no responsibility for investment losses.
8.5 Ownership of AI Outputs
Subject to compliance with these Terms and subscription limits, you own AI outputs generated from your inputs. However, similar outputs may be generated for other users, and Primordia doesn't guarantee exclusivity or uniqueness.
9. Intellectual Property
9.1 Primordia's Intellectual Property
The Service, its design, features, functionality, software, algorithms, models, interface, graphics, logos, and trademarks are owned by Primordia and protected by copyright and trademark law. These Terms grant only limited rights to use the Service as described.
9.2 Feedback
If you provide feedback or suggestions, you grant Primordia a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate them without obligation or compensation.
9.3 Copyright Infringement and DMCA Policy
Primordia respects others' intellectual property rights. DMCA notifications should include: copyrighted work identification, allegedly infringing material identification and location, your contact information, a good-faith belief statement, and a statement under penalty of perjury regarding accuracy and authorization to act.

Upon valid notification, Primordia will expeditiously remove or disable allegedly infringing material and may terminate repeat infringers' accounts.
Counter-Notification: If content was removed by mistake or misidentification, submit a counter-notification containing your signature, material identification, removal reason statement under penalty of perjury, contact information, and consent to Delaware federal court jurisdiction.
10. Acceptable Use Policy
You cannot use the Service to:
- Violate applicable law, regulations, or third-party rights
- Engage in unauthorized access or vulnerability probing
- Reverse engineer, decompile, disassemble, or derive source code or algorithms
- Develop competing products or services
- Scrape, crawl, or use automated means except through published APIs
- Circumvent, disable, or interfere with security or access controls
- Generate or distribute spam, phishing, or unsolicited communications
- Impersonate persons or misrepresent affiliations
- Engage in fraudulent, misleading, or deceptive purposes
- Interfere with Service integrity or performance
- Exceed or circumvent rate limits, usage quotas, or account restrictions
- Share, resell, or sublicense access without prior written consent
Primordia reserves the right to investigate violations, suspend or terminate accounts, and report conduct to law enforcement.
11. Third-Party Services
The Service integrates with cloud infrastructure providers, payment processors, authentication services, email delivery services, financial data providers, and AI model providers. Your use of these services may be subject to their respective terms and policies. Primordia is not responsible for their availability, accuracy, or practices.
12. Availability and Modifications
12.1 Service Availability
Primordia strives for availability but doesn't guarantee uninterrupted or error-free operation. The Service may experience scheduled maintenance, updates, or unplanned outages. The company is not liable for downtime or interruptions.
12.2 Modifications to the Service
Primordia reserves the right to modify, update, or discontinue any Service feature anytime, with or without notice.
12.3 Beta and Experimental Features
Beta, preview, or experimental features are provided as-is and may change, suspend, or be removed anytime without notice. These features may have reduced reliability, performance, or support. Their use is at your own risk, with disclaimers and limitations from Sections 13 and 14 applying with particular force.
13. Disclaimers
13.1 "AS IS" and "AS AVAILABLE"
To the fullest extent permitted by law, Primordia disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
13.2 No Warranty Regarding AI Outputs
The company doesn't warrant that Service results will meet your requirements or expectations.
13.3 Financial Data
Financial data, market prices, and company information from third-party sources may be delayed, inaccurate, or incomplete. The company doesn't guarantee accuracy, timeliness, or completeness.
14. Limitation of Liability
This applies to Service access or use inability, AI outputs, investment decisions relying on the Service, unauthorized data access, third-party conduct, or any Service-related matter.
Primordia's total aggregate liability for all claims shall not exceed the greater of: (a) amounts paid in the preceding 12 months, or (b) $100.
Some jurisdictions don't allow excluding or limiting certain damages, so the above applies to the fullest extent permitted locally.
15. Indemnification
You agree to indemnify, defend, and hold harmless Primordia, its directors, officers, employees, agents, and affiliates from claims, liabilities, damages, losses, costs, and expenses (including attorney fees) arising from: (a) your Service access or use; (b) your User Content; (c) your Terms violation; (d) your violation of applicable law or regulation; or (e) your violation of third-party rights, including intellectual property rights.
16. Termination
16.1 Termination by You
You may terminate your account anytime as described in Section 4.3.
16.2 Termination by Primordia
Primordia may suspend or terminate your Service access anytime, with or without cause and with or without notice, including situations where the company reasonably believes you violated these Terms. Termination for cause doesn't entitle you to prepaid fee refunds.
16.3 Effect of Termination
Upon termination: (a) your Service access right immediately ceases; (b) Primordia may delete account data and User Content within a reasonable timeframe, subject to retention practices and legal obligations; and (c) Sections 6 (outstanding obligations), 7.2, 8, 9, 10, 13, 14, 15, 17, and 18 survive.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by Delaware law, without regard to conflict of law principles.
17.2 Dispute Resolution
Disputes shall first be resolved through 30-day good faith negotiations. If unresolved, either party may submit to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration occurs in Wilmington, Delaware, conducted by a single arbitrator whose decision is final and binding.
17.3 Class Action Waiver
You waive rights to participate in class action lawsuits or class-wide arbitration.
17.4 Exceptions
Notwithstanding the foregoing, either party may: (a) seek injunctive or equitable relief in any competent court to protect intellectual property rights or prevent irreparable harm; or (b) bring individual small claims court actions within that court's jurisdictional limits.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and applicable subscription terms, constitute the entire agreement between you and Primordia and supersede all prior or contemporaneous agreements, understandings, and communications.
18.2 Severability
If any Terms provision is found invalid or unenforceable by a competent court, remaining provisions continue in full force.
18.3 Waiver
Primordia's failure to enforce any right or provision doesn't constitute a waiver. Waivers are effective only in writing and signed by Primordia.
18.4 Assignment
You cannot assign or transfer your rights or obligations without prior written consent. Primordia may assign its rights and obligations without restriction.
18.5 Force Majeure
Primordia is not liable for performance failures from causes beyond reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, power failures, internet or telecommunications failures, or third-party service provider failures.
18.6 Notices
Primordia may provide notices by posting Service updates, emailing your account address, or other reasonable means. Send notices to connect@primordia.ai.
19. Changes to These Terms
Primordia reserves the right to modify these Terms anytime. Material changes are communicated by posting updated Terms and revising the "Last Updated" date. Continued Service use after changes constitutes acceptance. Disagreement requires stopping Service use.
